Item 5.02.   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

                On June 17, 2008, W. Bradford Smith announced that he will resign as Chief Financial Officer of NeuroMetrix, Inc. (the “Company”) to pursue another opportunity in the life sciences industry.   Mr. Smith will remain in his role as Chief Financial Officer on a full-time basis through June 30, 2008 and will continue to assist the Company on a part-time basis through July 2008.  There were no disagreements between Mr. Smith and the Company on any matter relating to the Company’s operations, policies or practices.

 

                The Company is currently considering who will serve as the principal accounting officer and the principal financial officer of the Company after the effective date of Mr. Smith’s resignation.
