At the 2008 annual meeting of stockholders of NeuroMetrix, Inc. (the “Company”), on May 22, 2008, the Company’s stockholders approved the Company’s Second Amended and Restated 2004 Stock Option and Incentive Plan (the “Plan”) that increased the total number of shares of common stock available for issuance under the Plan by 1,000,000 shares.  The foregoing summary is qualified in its entirety by reference to the Plan, which is filed as Exhibit 99.1 to this Form 8-K and incorporated by reference.
